Synchronoss Technologies, Inc. Announces Pricing of $125 Million Public Offering of Senior Notes

BRIDGEWATER, N.J., June 25, 2021 (GLOBE NEWSWIRE) — Synchronoss Technologies, Inc. (SNCR) (the “Company” or “Synchronoss”), a global leader and innovator in cloud, messaging and digital products and platforms, today announced the pricing of an underwritten public offering of $125 million aggregate principal amount of 8.375% senior notes due 2026, including the exercise in full by the underwriters of the underwriters’ option to purchase an additional $5 million aggregate principal amount of senior notes. The offering is expected to close on or about June 30, 2021, subject to satisfaction of customary closing conditions.

Synchronoss and the senior notes both received a rating of BB- from Egan-Jones Ratings Company, an independent, unaffiliated rating agency. The Company has applied to list the senior notes on the Nasdaq Global Select Market under the symbol “SNCRL” and expects the notes to begin trading within 30 business days of the closing date of the offering, if approved.

All of the senior notes in the offering are being sold by Synchronoss. Synchronoss anticipates using the net proceeds from the offering, and from the offering of common stock and sale of Series B Preferred Stock (each as described below), to fully redeem all outstanding shares of Synchronoss’ Series A Convertible Participating Perpetual Preferred Stock and repay amounts outstanding under Synchronoss’ revolving credit facility.

Manga Productions launches “The Journey” in Tokyo”

As many as 1,218 New Confirmed COVID-19 Cases, 1,252 Recoveries Reported in Saudi Arabia, Says MoH Spokesman

Riyadh, Official Spokesman of the Ministry of Health Dr. Mohammed Al-Abdulaali said, in a press conference, that 1,218 new confirmed cases of the novel Coronavirus (COVID-19) have been reported today in the Kingdom of Saudi Arabia, bringing the total number to 483,221 confirmed cases, including 11,190 active cases receiving necessary medical care.

Of these, there are 1,440 critical cases, while the health condition of the rest is stable.

Dr. Al-Abdulaali added that 1,252 new recoveries have been recorded, bringing the total recoveries to 464,256 cases. Also, 15 new deaths have been reported, bringing the total deaths to 7,775.

The number of COVID-19 vaccine doses that have been taken stood at 17,208,065 doses, Dr. Al-Abdulaali said.

Ministry of Health Starts Vaccinating Age Group of 12-18

Riyadh, The Ministry of Health announced the implementation of a new phase of the national campaign for immunization with COVID-19 Pfizer Vaccine for the age group of 12-18. This announcement was made after the approval of the Saudi Food and Drug Authority and the completion of scientific researches, which showed the effectiveness of the vaccine for this age group.

The Ministry indicated that this step comes as a continuation of its efforts to expand the administration of the vaccine, after vaccinating 70% of adults in the Kingdom of Saudi Arabia, as it recently started administrating the second dose to people over 50 years old.

The Ministry of Health added that the registration for the vaccine is available via Sehaty and Tawakkalna.

The Ministry affirmed that the national campaign for COVID-19 vaccine is going as planned, as 17,255,254 COVID-19 doses have been administrated so far for citizens and residents through 587 centers in the Kingdom.

Foreign Ministry: Syria reaffirms that its right in occupied Golan is firm, supported by international legitimacy resolutions

Damascus, Syria condemned in the strongest terms the recent US and Israeli statements on the occupied Syrian Golan, stressing that its right in the Golan is firm and supported by international legitimacy resolutions, and it is inevitably returned to the motherland.

An official source at Foreign and Expatriates Ministry said in a statement that the Syrian Arab Republic condemns in the strongest terms the recent US and Israeli statements in regard to the occupied Syrian Golan, these statements which affirm that the US policy towards the Arab Nation and its issues come through the Israeli perspective in service of the policy of aggression, expansion and hegemony.

The source added that the Syrian Arab Republic reaffirms once again that its right in the occupied Golan is firm and supported by international legitimacy resolutions, and it is an imprescriptible right and all US and Israeli stances regarding this right is null and has no legal impact.

Syria refuses politicization of revealing the coronavirus source as this issue won’t serve facts

Damascus, Foreign and Expatriates Ministry affirmed the necessity of the categorical rejection of politicizing the issue of revealing the source of Corona virus, particularly as this politicization does not serve knowing facts or does not help combat the epidemic in a collective and cooperative way.

“The Syrian government supports the World Health Organization /WHO /to carry out the relevant decisions and outcomes of the World Health Conference, boosting international unity in a way that pushes forwards international cooperation to reveal the source of COVID-19 and confront its challenges,” The Ministry said in an official statement.

The statement added that “based on that stance, the Syrian side highly appreciates the Chinese government’s cooperation in studying the virus source with WHO before others, and the positive results achieved in this process.”

It went on to say the that the Syrian side noticed with concern that the US and some other countries have taken a series of provocative steps aimed politicizing the issue of uncovering the source of the virus and publicly denied reproducing the joint study prepared by China and WHO and challenged the authority of specialized international scientists.

Iraq, Egypt and Jordan reiterate necessity of reaching political solution to crisis in Syria

Baghdad, Iraq, Egypt and Jordan reiterated the need to reach a political solution to the crisis in Syria in a way that preserves its security, stability and territorial integrity.

In a joint concluding statement by President of Egypt, Abdel Fattah Al-Sisi, Abdullah II King of Jordan, and Prime Minister of Iraq, Mustafa Al-Kadhimi, following a triple summit that brought them together in the capital city of Iraq, Baghdad, they said that they reviewed the efforts of reaching political solutions to the crises in the region, mainly in Syria, according to relevant resolutions of the Security Council and the approved references.

The statement affirmed necessity of realizing a political solution to the crisis in Syria according to the resolution NO.2254 that preserves Syria’s security, stability and territorial integrity and secure the suitable conditions for the voluntary return of refugees.

Damascus, Syria condemns the criminal practices of the Turkish occupation forces and Erdogan’s regime continuation of adapting immoral policy in the war of water through cutting water off Alouk station for the 25th time… this station which forms the main source of drinking water for more than one million citizens in Hasaka, Foreign and Expatriates Ministry said in a statement on Sunday.

The statement added that turning a blind eye to the appeals of the international community by the Turkish government and ignoring the suffering of residents in Hasaka who face thirst in light of the high increasing temperatures is a criminal act which rises to the level of crime against humanity and a war crime that violate all international conventions.

It went on to say that Syria calls on Security Council and UN General Secretariat to immediately intervene and oblige the Turkish regime to respect the simplest rules of the international law in this regard and re-operate Alouk station, as well as re-pumping the agreed upon quantity of the Euphrates water along borders which is 500 cubic meter per minute.
